Viglacera Corporation - JSC announces the Resolution of the general meeting of shareholders dated February 07, 2020, which was convened in the form of collecting shareholders’ opinions in writing, as follows:

Approving the plan for issuing 13,500,000 shares of Viglacera Van Hai Joint Stock Company to the existing shareholders to increase the charter capital of Viglacera Van Hai Joint Stock Company from VND165 billion to VND300 billion.  

Information on the plan for share issue:

-       Issuer: Viglacera Van Hai Joint Stock Company

-       Outstanding volume: 16,500,000 shares

-       Current charter capital: VND165 billion

-       Estimated issue volume: 13,500,000 shares (81.81% of the outstanding volume)

-       Total issue value: VND135 billion

-       Estimated charter capital after the share issue: VND300 billion

-       Object of the share issue: existing shareholders

-       Purpose of the share issue: to invest in Van Hai Ecotourism Destination Project

-       Estimated offering price: VND10,000/share

-       Exercise ratio: 1:0.8181

-       The number of shares distributed to each shareholder will be rounded down. The fraction share and the shares refused to buy will be offered to other investors at the price not less than the one offered to the existing shareholders by the Board of Directors.

-       Transference principle: the right should be transferred only once to one or more buyers. However, the shares additionally issued are allowed to transfer.
