The Resolution of General Meeting of Shareholders of  South Logistics Joint Stock Company  dated November 27, 2018 approved the following contents:

1. Approving to restructure its Logistics Business Department.
2. Approving a merger plan between South Logistics Joint Stock Company (STG) and Sotrans Infrastructure Investment Com.Ltd (SII), merger contract and draft charter.
3. Approving the Gelex Logistics Com. Ltd to receive the transfer of STG shares which are owned by Viet Nam Electrical Equipment Joint Stock Corporation (GELEX) without the public tender offer.

-       Number of STG shares to receive the transfer: 46,799,893 shares (equivalent to 54.78% number of outstanding voting shares.)

-       Transferor: Viet Nam Electrical Equipment Joint Stock Corporation (GELEX)

-       Purpose: GELEX would like to contribute capital to Gelex Logistics via the Sotrans shares which are owned by GELEX.
