The Board resolution dated April 11, 2023, the Board of Directors of Tai Nguyen Corporation approved the following issues:

1)      To contribute capital to buy shares of Tay Bac Investment and Development Joint Stock Company in the private placement (is party related to Mr. Nguyen Ba Huan – Deputy Chief Executive Officer of TNT and a founding shareholder of Tay Bac Investment and Development Joint Stock Company:

-          Charter capital before contributing: VND55,000,000,000

-          Contribution capital value: VND79,000,000,000

-          Charter capital after contributing: VND134,000,000,000

After the capital contribution, TNT will own 58.95% charter capital of Tay Bac Investment and Development Joint Stock Company and Tay Bac Investment and Development Joint Stock Company will be a subsidiary of TNT.

2)      To contribute capital in Long Bien Ecological Garden Company Limited (is party related to Mr. Nguyen Ba Huan – Deputy Chief Executive Officer of TNT and a capital contributor of Long Bien Ecological Garden Company Limited:

-          Charter capital before contributing: VND39,000,000,000

-          Contribution capital value: VND81,000,000,000

-          Charter capital after contributing: VND120,000,000,000

After the capital contribution, TNT will own 67.5% charter capital of Long Bien Ecological Garden Company Limited and Long Bien Ecological Garden Company Limited will be a subsidiary of TNT.
