The Board resolution dated July 20, 2022, the BOD of Hoang Quan Consulting – Trading – Service Real Estate Corporation approved the following issues:

1. Based on the plan for share private placement approved by the Annual General Meeting 2022 dated June 18, 2022, the offering target is professional domestic investors and the unsold shares decided by the Board of Directors to distribute to other investors. Accordingly, the issuance will not increase the ownership ratio of foreign investors to ensure compliance with the law.
2. Approved the dossier of registration for share private placement:

-          Business Registration Certificate;

-          Charter

-          Resolution of the General Meeting dated June 18, 2022;

-          The Board resolution dated July 18, 2022 approving to implement the plan for share private placement;

-           The Board resolution dated July 20, 2022 approving the plan for assuring conformable foreign ownership ratio during the offering.

-          The commitment on the foreign ownership ratio.

-          The confirmation of the bank regarding the opening of blocked account.

-          Other issues.
