The Board resolution dated November 21, 2022, the BOD of Ho Chi Minh City Development Joint Stock Commercial Bank approved to increase its charter capital from the issuance share under ESOP. Details are as follows:

1)      Approved the increase of charter capital from VND25,303,429,220,000 to VND25,503,429,220,000.

2)      Approved the plan for stock issuance under ESOP to raise its charter capital:

-          Expected issue volume: 20,000,000 shares

-          Issue price: VND10,000/share

-          Time of implementation: 2022 and 2023

-          Time for transfer restriction: 01 year from the ending of the issuance.

-          Plan to deal with unsold shares: These shares will be distributed to other employees that approved by the Board of Directors

-          Plan for using capital from the issuance: total proceeds will be used to supplement working capital.

3)      Approved the registration at the Vietnam Securities Depository (VSD) and list on the Hochiminh Stock Exchange (HOSE) for the additional shares.

4)      Approved the amendment of the Company’s charter with new charter capital.
