The Southern Fertilizer Joint Stock Company (SFG) announces the Resolution of the Annual General Meeting 2021 dated April 23, 2021 with the following contents:

1)      The AGM approved the 2020 business result and plan for 2021.

2)      The AGM approved the 2020 BOD report and plan for 2021.

3)      The AGM approved the 2020 Supervisory Board and plan for 2021.

4)      The AGM approved the audited financial statements in 2020.

5)      The AGM approved the 2020 profit distribution:

-          To pay dividends:                               2.5%

-          Reward and Welfare fund:                 8%

-          Investment and Development fund:   0%

-          Bonus to the Executive Board:           0%.

6)      The AGM approved the business plan in 2021:

-          Total revenue:                         1,670,000 million dongs

-          Profit:                                           5,000 million dongs

-          Dividend:                                     >= 1%.

7)      The AGM approved the remuneration of the BOD, Supervisory Board, Secretary, Authorized Spokesman in 2020 and plan for 2021.

8)      The AGM approved the selection audit firms for the financial statements in 2021.

9)      The AGM approved the amendment, supplement of the Company’s Charter.

10)  The AGM approved the amendment, supplement of Corporate Governance Regulation.
