Bamboo Capital Joint Stock Company (BCG) announces the Board resolution dated March 16, 2021 as follows:

1)      The Board of Directors of Bamboo Capital Joint Stock Company (BCG) approved the capital contribution (Phase 1) in BCG Cat Trinh Industrial Park Joint Stock Company as follows:

-          Target company: BCG Cat Trinh Industrial Park Joint Stock Company;

-          Amount of contributed capital: 8,000,000 shares (80% of charter capital of BCG Cat Trinh Industrial Park JSC);

-          Form of capital contribution: receiving the share transfer from BCG Land, a subsidiary of Bamboo Capital JSC;

-          Time of capital contribution: in March 2021.

2)      The Board of Directors of Bamboo Capital Joint Stock Company (BCG) approved the additional capital contribution (Phase 2) in BCG Cat Trinh Industrial Park JSC by purchasing shares from the share offering to the existing shareholders by BCG Cat Trinh Industrial Park JSC:

-          Amount of additional capital contribution: 30,400,000 common shares (80% of charter capital of BCG Cat Trinh Industrial Park JSC after raising capital);

-          Par value: VND10,000/share

-          Owning ratio after the additional capital contribution: 38,400,000 shares, equivalent to VND384,000,000,000, accounting for 80% of charter capital of BCG Cat Trinh Industrial Park JSC after raising capital;

-          Time of capital contribution: after completing Phase 1 of capital contribution.
