Japan Vietnam Medical Instrument Joint Stock Company announces the Resolution of Annual General Meeting 2021 dated December 10, 2021 with the following contents:

1)      The AGM approved the BOD, The Senior management and the Supervisory Board activities report in 2020, 2021.

2)      The AGM approved the audited financial statements in 2020.

3)      The AGM  approved profit distribution plan for 2020:

-          The profit after tax in 2021: -VND59 billion

-          The 2020 dividend payment: none.

4)      The AGM approved the plan to pay remuneration to the members of BOD and Supervisory Board in 2020: VND470,230,000.

5)      The AGM approved the plan to pay remuneration to the members of BOD and Supervisory Board in 2021: VND408,000,000.

6)      The AGM approved the selection of the auditor for the financial statements in 2021.

7)      The AGM approved the amendment and supplement of the Company’s business lines.

8)      The AGM approved the amendment and supplement of the Company’s charter.

9)      The AGM approved private placement of shares.

10)  The AGM approved to change of the legal representative.

11)  The AGM approved to change company name.

12)  . The AGM approved the additional election of members of BOD for the term 2021 – 2026, including:

 - Nguyen Thi Hanh;

- Le Minh Chung;

- Nguyen Thi Phuong;

- Pham Thanh Nam;

- Vu Hoang Viet.

11. The AGM approved the additional election of members of Supervisory Board for the term 2021 – 2026, including:

- Nguyen Van Sy;

- Dang Thi Ha Giang;

- Nguyen Thi Tien Chi.
