The Board resolution dated September 30, 2021, the Board of Directors of Investment and Industrial Development Joint Stock Corporation approved the following issues:

1.  Approing to contribute capital to raise charter capital to BW Industrial Development  Joint Stock Company (BWID) from VND8,678,318,120,000 (equivalent to 376,618,184 USD) to VND13,774,784,550,000 (equivalent to 600,049,417 USD) . Capital contribution is divided 02 phases:

Phase 1: capital contribution according to shareholder agreement:

-          Amount: VND844,639,930,000 (equivalent to 37,029,370 USD)

-          Contribution form: in cash

-          Time for capital contribution: no later than December 31, 2021.

Phase 2: to buy the additional share issuances according to the stock issuance plan to existing shareholders

-          Buying volume: 68,430,000 shares

-          Par value: VND10,000/share

-          Offering price: VND10,000/share

-          Total value: VND684,300,000,000

-          Time for subscription: no later than November 30, 2021.

-          Payment method: in cash

-          Payment time: no later than June 30, 2022.

After BCM increases charter capital in BWID, BCM will own charter capital to VND13,774,784,550,000 (equivalent to 600,049,417 USD), accounting for 30% charter capital of BWID.
