The Board resolution dated February 04, 2020, VRC Real Estate and Investment Joint Stock Company (VRC) approves to supplement the content of collecting shareholders' opinion in writing as follows:

Approving to allow Happy Land Investment Joint Stock Company to buy VRC’s shares. Accordingly, Happy Land Investment Joint Stock Company will own over 25% of outstanding voting shares of VRC without having to make a public tender offer.
Approving the guarantee for the issuance of corporate bond in 2020 of ADEC Joint Stock Company by pledging and mortgaging stock of My Xuan Port Services Shipyard Joint Stock Company.
