Binh Dinh Pharmaceutical and Medical Equipment Joint Stock Company announces the resolution of Extraordinary General Meeting 2019 dated January 06, 2020:

1. Allowing the existing shareholders to transfer their shares to foreign investors, leading to the ownership ratio of foreign investors of more than 25% on the total outstanding voting shares to the maximum limit as regulated without via public tender offer.
2. Approving to increase the ownership ratio of foreign investors at Binh Dinh Pharmaceutical and Medical Equipment Joint Stock Company to 100%.
3. Approving the amendment and supplementation of the Company’s business lines.
4. Approving the amendment of the Company’s Charter.
5. Authorizing the Board of Directors to decide the adjustment of the ownership ratio of foreign investors.
6. Approving the merger of Bidiphar High Technology Limited Company, Bidiphar Betalactam Co,.Ltd., Bidiphar Non Betalactam Co,.Ltd, 100% owned by Bidiphar, into the branch directly under Bidiphar at Lot A, Nhon Hoi Economic Area, Quy Nhon city, Binh Dinh province.
