Ocean Group Joint Stock Company announces Board Resolution No.08/2019 dated September 16, 2019 as follows:

1. The Board of Directors approved the plan for withdrawing the entire contributed capital at Fafim Vietnam Joint Stock Company. The Board assigned and authorized the Chairman to review and approve the proposal of the CEO regarding the selection of transferee.
2. The Board of Directors approved the plan for withdrawing the entire contributed capital at BOT Ha Noi – Bac Giang Joint Stock Company. The Board assigned and authorized the Chairman to review and approve the proposal of the CEO regarding the selection of transferee.
3. The Board of Directors approved to continue transferring the stake owned by OGC at HaNoi PVR Investment Joint Stock Company (hereinafter called “PVR”). Accordingly, OGC will divest all of stake at PVR, including the number of PVR shares that OGC purchased from VNT Co., Ltd. The Board assigned and authorized the Chairman to review and approve the proposal of the CEO regarding the selection of transferee.
4. About the debts between OGC and HaNoi PVR Investment Joint Stock Company (formerly known as Petrovietnam Senior Oil and Gas Service Joint Stock Company), the Board of Directors assigned and authorized the Chairman to review, decide and approve the plan to terminate a deposit agreement between OGC and PVR.
5. The Board of Directors appointed Mr. Mai Huu Dat and Mr. Nguyen Thanh Trung as the authorized representatives to manage OGC’s contributed shares at Ocean Hospitality and Service Joint Stock Company (OCH), equivalent to 8,695,652 OCH shares.
