Van Phu - Invest Investment Joint Stock Company announces the resolution of Annual General Meeting 2019, which was convened on March 20, 2019, as follows:

Article 1: Approving the reports on business performance in 2018 and business plan for 2019.

Article 2: Approving the report of the Board of Directors.

Article 3: Approving the report of the Board of Supervisors.

Article 4: Approving the audited financial statements in 2018.

Article 5: Approving the document regarding the selection of audit firm for auditing the listed company's financial statements in 2019.

Article 6: Approving the remuneration of the Board of Directors and the Board of Supervisors in 2018 and 2019.

Article 7: Approving the profit distribution for 2018 and the profit distribution plan for 2019.

-       Bonus and welfare fund: 5%/the undistributed after-tax profit

-       Bonus fund for the management board: 5%/the after-tax profit

-       Estimated dividend rate: 20%

Article 8: Approving the change of corporate management structure model.

Article 9: Approving to add new business lines to the company business function.

Article 10: Approving the amendment to the Company's Charter. 

Article 11: Approving to authorize the Board of Directors. 

Article 12: Approving the additional election of independent member of the Board of Directors. Therefore, the number of members of Board of Directors for the term of 2015 - 2020 will be 07 persons.

Article 13: Approving to elect Mr. Trinh Thanh Hai as Independent Member of the Board of Directors for the term of 2015 – 2020.

Article 14: This resolution shall take effect from March 20, 2019.
