-          Issuance object: shareholders who owns shares of M-Talent and TNTECH

-          Issuance purpose: the private issuance to convert shares of M-Talent and TNTECH.

-          Convertible ratio of TNTECH shares: 1 : 0.9 (0.9 share of TNTECH will be converted 01 shares of TN1. The number of shares received by TNTECH’s shareholders will be rounded down, the fractional shares will be cancelled).

-          Convertible ratio of M-Talent shares: 1 : 1.8 (1.8 shares of M-Talent will be converted 01 shares of TN1. The number of shares received by M-Talent’s shareholders will be rounded down, the fractional shares will be cancelled).
